Chairman of the Ways and Means Committee, John Gavaris, offers the following:

 

WHEREAS, pursuant to the Ulster County Charter and Section A-2-5 (15) of the Administrative Code, it is a power and duty of the Ulster County Legislature to “approve the execution of all contracts and change orders in the amount of $50,000 or in excess of $50,000 entered into by the County;” and 

 

          WHEREAS, in exercising its fiduciary duties, the Legislature has a responsibility to enact policies to retain flexibility and protect taxpayers; and

 

WHEREAS, the Legislature believes it is in the best interest of the County and its citizens to enact a policy to standardize termination clause language within all Ulster County contracts; now, therefore, be it

 

RESOLVED, it shall be the policy of Ulster County, that effective January 1, 2025, each contract executed on behalf of Ulster County shall contain a termination for convenience clause including language that, “The County may, by written notice to the Firm, effective upon mailing, terminate this Agreement in whole or in part at any time for the County’s convenience,” and, be it further

 

RESOLVED, where such termination for convenience clause is not possible or practical, a detailed explanation shall be provided at the time such contract is submitted to the Legislature for consideration, clarifying why compliance with this policy cannot be achieved,

 

and move its adoption.
