Chairman of the Ways and Means Committee, Richard A. Gerentine, and Deputy

Chairman Tracey A. Bartels offer the following:

WHEREAS, HealthAlliance Hospital Mary’s Avenue Campus is the owner of

real property located at 111 Mary’s Avenue in the City of Kingston (the “Property”);

and

WHEREAS, the Property is subject to a PILOT agreement entered into on

November 1, 2003 by the Ulster County Industrial Development Agency and the

Property’s predecessor in interest; and

WHEREAS, the PILOT agreement provided for certain payments in lieu of

taxes be made for portions of the Property not occupied by HealthAlliance; and

WHEREAS, a dispute arose over the amount of payments due for the years

2006 through 2012, resulting in the City of Kingston commencing litigation in New

York State Supreme Court, Index# 14-1327; and

WHEREAS, a settlement agreement has been proposed wherein Ulster County

will receive payment in the amount of $4,366.13 in exchange for releasing its claims

to back taxes for the years 2006 through 2012; now, therefore, be it

RESOLVED, that the Chairman of the Ulster County Legislature is hereby

authorized to execute a settlement agreement and release, and any amendments

thereto as well as any and all additional documents necessary, between

HealthAlliance Hospital Mary’s Avenue Campus, Benedictine LaSalle Medical

Office, LLC, the City of Kingston, the Kingston City School District and the County

of Ulster in relation to litigation and claims for back taxes owed for real property

located at 111 Mary’s Avenue, Kingston, New York for the years 2006 through 2012

in the form as filed with the Clerk of the Legislature, or as modified with the

approval of the County Attorney,
